LAWS 2424 - Contract Law

4.5 Credits

Students learn the basic theory of contract law, examine both sample contracts from a variety of specialized practice areas as well as supplemental cases, and draft simple contracts. Topics include basic contract requirements, contract provisions in selected specialized practice areas, the Statute of Frauds, and the Uniform Commercial Code. Students also learn key contract terms and sample clauses and perform exercises in conducting case analysis.

Course Objectives

Explain legal terminology such as offer, acceptance, consideration, capacity, legality, fraud, mistake, duress, unconscionability, and the Uniform Commercial Code, as relates to contracts.

Apply the basic concepts and interpretations of contract law to different fact scenarios.

Determine if a contract has been breached and what remedies and third-party rights may be available for breach of contract, as well as possible defenses to enforcement, based upon different fact scenarios.

Use legal databases to research various sources of contract law, including common law, case law, general obligation statutes and the Uniform Commercial Code.

Prepare a contract based on case scenario(s).
